Terms of Service

1. Acceptance of Terms

By accessing or using DrifTrade's applications, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and DrifTrade, LLC ("DrifTrade," "we," "our," or "us"). Please read them carefully.

2. Eligibility

  • You must be at least 18 years of age to use the Service.
  • You must have the legal capacity to enter into a binding agreement in your jurisdiction.
  • If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
  • You must not be prohibited from using the Service under applicable laws, including U.S. sanctions and export control regulations.

3. Description of Service

DrifTrade provides a software platform for individual traders and investors that includes:

  • Real-time and delayed market data display
  • Technical analysis tools and indicators
  • AI-powered trade signal generation and market analysis
  • Portfolio tracking and management
  • Trade execution routing through connected third-party brokers
  • Trade journaling and performance analytics
  • Agentic Trading Coach — an AI-powered training and coaching system

The Service is available as native applications for Windows, macOS, iOS, and Android, with certain features accessible via web browser.

4. Account Registration and Security

  • You must provide accurate, current, and complete registration information.
  • You are responsible for maintaining the security and confidentiality of your account credentials.
  • Passwords must be at least 12 characters in length.
  • You must promptly notify us of any unauthorized access to or use of your account.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • We reserve the right to suspend accounts that show signs of compromise or unauthorized access.

5. Subscription Plans and Billing

5.1 Plans

DrifTrade offers subscription tiers (Free, Starter, Trader, Pro) with varying feature sets, limits, and credit allocations. Plan details, features, and pricing are described on our Pricing page and may be updated from time to time.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. Annual plans are billed as a single upfront payment for the full year. All prices are in U.S. dollars and exclude applicable taxes, which will be added at checkout where required.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan at renewal.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period.
  • Your account reverts to the Free tier after the billing period expires.
  • No prorated refunds are issued for unused portions of a billing period.
  • Purchased credit packs and their remaining balances are not affected by plan cancellation.

5.5 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, issue refunds or credits in cases of billing errors, extended service outages (exceeding 48 consecutive hours), or other exceptional circumstances. Refund requests must be submitted within 14 days of the charge.

6. Credits and AI Usage

  • Certain AI-powered features consume credits from your account balance.
  • Each subscription plan includes a monthly credit allocation that resets at the start of each billing cycle. Monthly credits do not roll over.
  • Additional credits may be purchased as credit packs. Purchased credits do not expire and are consumed only after monthly plan credits are depleted.
  • Credit consumption rates vary by feature complexity and are displayed before each operation.
  • We reserve the right to adjust credit consumption rates with 30 days' notice.

7. AI-Powered Features and Limitations

DrifTrade incorporates artificial intelligence and machine learning models to provide trade signals, market analysis, portfolio recommendations, and related features. You acknowledge and agree:

  • AI outputs are generated by statistical models and may contain errors, inaccuracies, or biases.
  • AI-generated signals, analysis, and recommendations are informational tools only and do not constitute financial advice, investment recommendations, or solicitations to buy or sell securities.
  • AI models are trained on historical data and cannot predict future market conditions with certainty.
  • You are solely responsible for evaluating AI outputs and making your own trading decisions.
  • DrifTrade does not guarantee the accuracy, completeness, or timeliness of any AI-generated content.
  • Past performance of AI models or signals does not guarantee future results.

8. Agentic Trading Coach

The Agentic Trading Coach is an AI agent that provides personalized trading education, practice environments, and behavioral coaching. Additional terms apply:

  • The Agentic Trainer provides educational content and practice simulations. It does not provide investment advice or manage real money.
  • Paper trading simulations use real-time market data but do not involve actual securities transactions or real capital.
  • Simulated trading results do not reflect actual trading outcomes. Real trading involves execution risk, slippage, and market impact not present in simulations.
  • Coaching feedback, behavioral analysis, and strategy suggestions are educational in nature and should not be relied upon as the sole basis for real trading decisions.
  • The trainer's adaptive learning system processes your practice trades and interactions to personalize content. This data is handled in accordance with our Privacy Policy.

9. Trading and Financial Disclaimers

DRIFTRADE IS NOT A REGISTERED BROKER-DEALER, INVESTMENT ADVISOR, FINANCIAL ANALYST, OR FINANCIAL INSTITUTION. DRIFTRADE IS NOT REGISTERED WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION (SEC), THE FINANCIAL INDUSTRY REGULATORY AUTHORITY (FINRA), OR ANY STATE SECURITIES REGULATORY AUTHORITY.

  • The Service provides software tools that facilitate your interaction with third-party brokers. We do not hold, custody, or manage your funds or securities.
  • Trading in securities, options, and other financial instruments involves substantial risk of loss and is not suitable for all investors.
  • Options trading involves special risks and is not appropriate for all investors. Options can expire worthless, resulting in a total loss of the premium paid.
  • You should not invest money you cannot afford to lose.
  • Past performance of any trading strategy, analysis tool, or AI model is not indicative of future results.
  • You are solely responsible for your own trading decisions, investment choices, and tax obligations.
  • DrifTrade does not provide tax, legal, or accounting advice. Consult qualified professionals for such guidance.
  • Market data displayed in the Service may be delayed, inaccurate, or incomplete. Verify all data with your broker before making trading decisions.

10. Broker Connections and Authorization

When you connect a brokerage account through the Service:

  • You authorize DrifTrade to access your broker account data (positions, balances, order history) through authorized API access.
  • You authorize DrifTrade to submit orders to your broker on your explicit instruction.
  • Your broker API credentials are encrypted with AES-256-GCM and stored in our secure infrastructure. We never store credentials in plaintext.
  • You may disconnect your broker at any time, which immediately revokes access and deletes stored credentials.
  • DrifTrade is not responsible for broker execution quality, order routing, fills, outages, or errors. Your relationship with your broker is governed by your agreement with that broker.
  • We do not guarantee that connected broker APIs will be available or functional at all times.

11. Market Data

Market data displayed through the Service is sourced from third-party providers and may be subject to their terms of use and licensing restrictions. Market data is provided "as is" without warranty of accuracy, completeness, or timeliness. Real-time data availability depends on your subscription tier and connected broker capabilities.

12. Acceptable Use

You agree not to:

  • Use the Service for any purpose that violates applicable laws or regulations, including securities laws.
  • Attempt to manipulate markets, engage in wash trading, spoofing, or other forms of market manipulation.
  • Access or attempt to access another user's account without authorization.
  • Reverse-engineer, decompile, disassemble, or derive source code from any part of the Service.
  • Use automated scripts, bots, or tools to scrape, extract, or harvest data from the Service beyond normal API usage.
  • Circumvent, disable, or interfere with security features, rate limits, or usage restrictions.
  • Share, resell, or redistribute your account access, API keys, or Service credentials.
  • Redistribute or commercially exploit market data obtained through the Service.
  • Use the Service to transmit malware, viruses, or harmful code.
  • Engage in activity that could damage, overload, or impair the Service or its infrastructure.

13. Intellectual Property

The Service — including its software, source code, design, user interface, AI models, algorithms, documentation, and all related intellectual property — is owned by DrifTrade and protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms for the duration of your subscription. This license does not include the right to modify, distribute, or create derivative works from the Service.

14. User Content

You retain ownership of content you create within the Service, including trade journal entries, notes, strategy documentation, and custom watchlists ("User Content"). By using the Service, you grant DrifTrade a limited license to store, process, and display your User Content solely to provide the Service to you. We will not use your User Content for any other purpose without your consent.

15. Indemnification

You agree to indemnify, defend, and hold harmless DrifTrade, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or violation of these Terms.
  • Your trading decisions and their financial outcomes.
  • Your breach of any applicable law or regulation.
  • Your violation of any third party's rights.
  • Any content you submit through the Service.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRIFTRADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Trading losses or lost profits arising from use of or reliance on AI signals, analysis, or the Service.
  • Loss of data, trade journal entries, or account information.
  • Service interruptions, downtime, or unavailability.
  • Errors in market data, trade execution, or order routing.
  • Unauthorized access to your account resulting from your failure to secure your credentials.
  • Actions or omissions of third-party brokers, data providers, or payment processors.

IN NO EVENT SHALL DRIFTRADE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DRIFTRADE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. DRIFTRADE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, MARKET DATA, OR ANALYSIS PROVIDED THROUGH THE SERVICE.

18. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

  • Arbitration will be conducted in English, in the state of Delaware or remotely via videoconference at your election.
  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • For claims under $10,000, DrifTrade will pay all AAA filing and arbitrator fees.
  • Either party may seek injunctive or equitable relief in court to prevent irreparable harm pending arbitration.

19. Class Action Waiver

YOU AND DRIFTRADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

20. Force Majeure

DrifTrade shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, market closures, exchange outages, broker outages, internet disruptions, power failures, or cyberattacks.

21. Export Controls

You agree to comply with all applicable export control laws and regulations, including U.S. Export Administration Regulations (EAR) and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions.

22. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or for any other reason.

You may deactivate your account at any time through the application settings or by contacting support. Upon termination:

  • Your right to use the Service ceases immediately.
  • We will retain your data in accordance with our Privacy Policy retention schedule.
  • Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

24. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms for specific features, constitute the entire agreement between you and DrifTrade regarding the Service. These Terms supersede all prior agreements, communications, and understandings.

25. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

26. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email notification and/or prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
